1. Acceptance of Terms
By accessing or using the BrandMov website and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
3. Access and Use of the Service
You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or internal business purposes, subject to these Terms.
You agree not to use the Service for any illegal purpose or in violation of any local, state, national, or international law.
4. Intellectual Property Rights
The Service and its original content, features, and functionality are and will remain the exclusive property of BrandMov and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
5. User Accounts
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
6. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease.
7. Limitation of Liability
In no event shall BrandMov, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
8. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws, without regard to its conflict of law provisions.
10. Fair Usage Policy
We aim to provide a high-quality service to all our users. To ensure this, we implement a Fair Usage Policy. While we offer generous credit limits, the Service must not be used in a way that adversely affects other users or the stability of our infrastructure. This includes, but is not limited to, automated scraping of our data, reselling our insights without authorization, or attempting to circumvent our credit system. We reserve the right to suspend or limit accounts that violate this policy.
11. Connected Ad Accounts and Agent Actions
BrandMov features may let you connect a third-party advertising platform account (such as a Meta Ads, Google Ads, or similar account) to the Service and authorize an AI agent or our Model Context Protocol (MCP) server to read data, and where explicitly enabled, write data on your behalf. By connecting any such account or sharing access with BrandMov's Business Manager (or equivalent), you acknowledge and agree that:
(a) you are the lawful owner of, or are otherwise duly authorized to operate, the connected account, and you have the authority to grant BrandMov the access required;
(b) you remain solely responsible for compliance with the third party's terms of service and advertising, content, and community policies, including the legality, accuracy, and policy-compliance of any creative, copy, audience, landing page, product, or offer associated with campaigns run on the connected account;
(c) BrandMov acts on your direction and is not liable for advertising policy violations, account suspensions or disablement, ad spend, billing charges, refunds, chargebacks, lost revenue, business interruption, or any other losses or damages incurred on or in connection with the connected account, whether caused by actions of an AI agent, an automated workflow, our staff acting on your instruction, or the third-party platform itself;
(d) any actions performed via the Service against the connected account — including campaign creation, edits, duplications, budget changes, audience changes, creative uploads, and pauses — are deemed to be performed by you, even where initiated, suggested, or executed by an AI agent;
(e) we may, at our sole discretion and without notice, throttle, restrict, gate, disable, or remove any connected-account integration, agent capability, or write action — for any user, account, workload, or globally — to protect platform stability, comply with third-party policies, or reduce the risk of harm to your or other users' accounts, and we do not guarantee continued availability of any specific automated action;
(f) you are responsible for monitoring the connected account independently of the Service (including via Ads Manager or the third party's native tools), reviewing all changes the agent suggests or executes before they go live, and revoking BrandMov's access at any time if you no longer wish to use the integration; and
(g) BrandMov may log the prompts, agent actions, API responses, and metadata associated with your use of these integrations for the purposes of debugging, abuse prevention, security, billing, and product improvement, subject to our Privacy Policy.
